<br /> 186 <br /> LICENSE AGREEMENT <br /> DATE: July .E!, 1998 <br /> LICENSOR: City of San Marcos, a municipal corporation <br /> 630 East Hopkins Street <br /> San Marcos, Hays County, Texas 78666 <br /> LICENSEE: City of Austin <br /> Austin Transportation Study <br /> Austin Municipal Annex <br /> 301 West 2nd Street, 1st Floor <br /> P.O. Box 1088 <br /> Austin, Travis County, TexaS 78767-1088 <br /> CONSIDERATION: Ten and no/100 Dollars and other good and valuable consideration, <br /> including the Licensee's performance of its obligations under this agreement. <br /> PROPERTY: A 10 foot by 20 foot (200 square foot) strip of land at the San Marcos <br /> Municipal Airport ("Airport"), and being a portion of land out of the 1,303.055 acre tract <br /> described in an Indenture, as amended, from United States Government to City of San <br /> Marcos, A Municipal Corporation, in a deed recorded in Volume 313, Page 463 of the <br /> Caldwell County Deed Records, and being more fully described in Exhibit "A" attached. <br /> Licensor, for the consideration, hereby grants and demises to Licensee a non- <br /> exclusive license to install, operate, maintain, and replace one air quality test trailer on <br /> the Property subject to the following: <br /> 1. The term of this License is from June 1, 1998 to October 1, 1999. Licensee <br /> agrees to remove the test trailer from the Property no later than October 1, 1999. <br /> 2. Licensee agrees to comply with all federal, state and local laws, and other <br /> regulations in setting up, maintaining and operating the test trailer. Licensee will keep the <br /> Property clean and free of litter and debris at aU times. <br /> 3. Licensee agrees to indemnify, hold harmless and defend Licensor, its officers <br /> and employees from and against any claims or liability resulting from any act or omission <br /> of Licensee, its officers, agents or employees in connection with its use of the Property. <br /> Licensee also agrees to hold harmless the Licensor, its officers, agents and employees <br /> from any claims for damage to the property of Licensee resulting from any act or omission <br /> of Licensor, its officers, agents, or of any third party, in connection with this Agreement. <br />
