<br /> B. Tennination for cause. <br /> (I) Either party may tenninate for material breach of contract with at least 30 days written notice to <br /> the other party. <br /> (2) RECEJyING AGENCY may tenninate this contract, in whole or in part, for breach of contract or <br /> for risky conduct by giving at least 30 days written notice to PERFORMING AGENCY. "Risky <br /> conduct" may include one or more of the following: <br /> (a) A court of competent jurisdiction fmds that the PERFORMING AGENCY has failed to <br /> adhere to any laws, ordinances, rules, regulations or orders of any public authority having <br /> jurisdiction; <br /> (b) PERFORMING AGENCY fails to communicate with RECEIVING AGENCY or fails to <br /> allow its employees or those of its subrecipients to communicate with RECEIVING <br /> AGENCY as necessary to the perfonnance of the contract; <br /> (c) PERFORMING AGENCY breaches a standard of confidentiality with respect to the <br /> services provided under this contract; <br /> (d) RECEIVING AGENCY detennines that the PERFORMING AGENCY is without the <br /> personnel or resources to perfonn under the contract; <br /> (e) RECEIVING AGENCY detennines that PERFORMING AGENCY, its agent or another <br /> representative offered or gave a gratuity (e.g., an entertainment or gift) to an official or <br /> employee of RECEIVING AGENCY for the purpose of obtaining a contract or favorable <br /> treatment; <br /> (t) PERFORMING AGENCY's management system does not meet the UGMS management <br /> standards; or <br /> (g) PERFORMING AGENCY appears to be financially unstable. Indicators of financial <br /> instability may include one or more of the following: <br /> (i) PERFORMING AGENCY fails to make payments; <br /> (ii) PERFORMING AGENCY makes an assignment for the benefit of its creditors; <br /> (iii) PERFORMING AGENCY admits in writing its inability to pay its debts generally <br /> as they become due; <br /> (iv) If judgment for the payment of money in excess of$50,000 (which is not covered <br /> by insurance) is rendered by any court or. governmental body against <br /> PERFORMING AGENCY, and PERFORMING AGENCY does not (a) discharge <br /> the judgment or (b) provide for its discharge in accordance with its tenns, or (c) <br /> procure a stay of execution within 30 days ITom the date of entry thereof, and <br /> within the 30-day period or a longer period during which execution of the <br /> judgment shall have been stayed, appeal thereITom and cause the execution <br /> (F ee-for-Service) 1999 GENERAL PROVISIONS Page 17 4/98 <br />
