director, representative, employee, contractor or subcontractor of Purveyor, and their respective officers, agents, employees, directors and representatives, while in the exercise of performance of the rights or duties under this Contract. Purveyor shall promptly advise SAWS in writing of any claim or demand against SAWS or Purveyor known to Purveyor related to or arising out of Purveyor's activities under this Contract and shall see to the investigation of and defense of such claim or demand at Purveyor's cost. SAWS shall have the right, at its option and~t its own expense, to participate in such defense without relieving Purveyor of any of its obligations under this paragraph. Termination of Agreement. This Letter of Agreement may be terminated by SA WS or Purveyor for its convenience by giving thirty (30) days I written notice to Purveyor. This Letter of Agreement may be terminated by either party upon written notice should the other party fail substantially to perform in accordance with this Letter of Agreement through no fault of the other Party. Failure to perform includes failure of Purveyor to promptly pay SA WS in accordance with the terms herein. Upon receipt of the written notice of termination, the party in receipt of such notice shall have thirty (30) days from the date of receipt of the notice to cure an event of default under the Letter of Agreement. If such party has not cured the default within thirty (30) days of receipt of the written notice, this Letter of Agreement shall be deemed terminated. In the event of termination, SA WS shall be paid in full for all work previously authorized and performed up to the termination date. If no termination is implemented, relationships and obligations created by this Letter of Agreement shall terminate, unless extended in writing, one year from the execution of this Letter of Agreement. SAWS and Purveyor recognize that close supervision of the work by both parties and good communication between the parties are essential to achieve adequate performance of the work described in this Letter of Agreement. Each party hereby agrees to designate its respective contact who is charged with the coordination of the work to be performed under this Letter of Agreement. It is further agreed that, should it be necessary to change this designated contact person, notice of the change will be given immediately in writing to the other party.
