<br /> charged the Contractor for administrative costs in. processing each change under this <br /> provision. The Contract will then be modified to reflect the change. <br /> 7.13 Subject to the provisions of subsection 1.4.20, in the event that the performance by <br /> either party of any of its obligations under this Contract is interrupted or delayed by events <br /> outside of their control such as acts of God, war, riot, or civil commotion, then the party is <br /> excused from such performance for the period of time reasonably necessary to remedy the <br /> effects of the events. <br /> ARTICLE 8 <br /> SUCCESSORS AND ASSIGNS <br /> 8.1 The City and the Contractor, respectively, bind themselves, their partners, <br /> successors, assigns and legal representatives to the other party to this Contract and to the <br /> partners, successors, assigns and legal representatives of such other party with respect <br /> to all covenants of this Contract. The City and the Contractor will not assign, sublet or <br /> transfer any interest in this Contract without the written consent of the other. The City may <br /> set off against the amount payable to any person under this Contract any claim or charge <br /> it may have against the Contractor. <br /> 8.2 The Contractor may request in writing that payments due or to become due to the <br /> Contractor be assigned to a bank or other financing institution, provided that prior written <br /> approval is obtained through the City Manager, and payment by the City is made only to <br /> one party. Any assignment not in conformance with this provision will be null and void as <br /> to the City. A fee of $100.00 per request will be charged the Contractor for administrative <br /> costs in processing each assignment under this paragraph. Upon payment of such fee to <br /> the City, the Contract will be amended to reflect the changed payee name and address. <br /> ARTICLE 9 <br /> EXTENT OF CONTRACT <br /> 9.1 This Contract represents the entire and integrated Contract between the City and <br /> the Contractor and supersedes all prior negotiations, representations or contracts either <br /> written or oral. Except as to a change in the scope of services, the compensation for which <br /> does not exceed $15,000, this Contract may be amended only by separate written <br /> instrument approved by the City's governing body and signed by both the City and <br /> Contractor. <br /> 9.2 Any exhibits and/or attachments attached to this Contract are incorporated by <br /> reference into this Contract as though included verbatim herein. <br /> 9.3 Any exhibits and/or attachments attached to this Contract are incorporated by <br /> reference into this Contract as though included verbatim herein.
