Section 5.4 Nondiscrimination Ill performing the services required under this Contract, the Contractor will not discriminate against any person on the basis of race, color, religion, sex, national origin, age or disability. The Contractor will comply with all laws and regulations prohibiting discriminatiag against employees or prospective employees because of age, religion, race, color, sex, disability, or national origin. The Coatractor will submit reports at the City's request to assure compliance. Section 5.5 Construction All references in this Coutract to any particular geuder are for convenience only aud will be construed and interpreted to be of the nenter gender. The term "wiIl" is mandatory in this Contract. Section 5.6 Severability Sbould any provisiou in this Contract be found or deemed to be invalid, this Contract will be construed as not containing the provision, and all other provisions which are otherwise lawfuI will remain in fulI force aud effect, aud to this end the provisions of this Coutract are declared to be severable. Section 5.7 Compliance With La~vs ltl performing this Contract, the Contractor, its subcontractors, successors aud assigns will comply with all local, state and federal laws. Section 5.8 Public Information Act The City of Sao Marcos is governed by the Texas Public Informatiou Act ( the "Act"), Chapter 552 of the Texas Government Code. This Contract and all writteu information geoerated under this Contract may be subject to release under the Act. The Contractor shall not make any reports, information, data, etc. generated under this Contract available to any individual or orgauizatioo without the written approval of the City. Section 5.9 Waiver/Renunciation No claim or right arising out of a breach of the Contract can be discharged in whole or in part by a waiver or renuuciation of the claim or right nnless the waiver or renunciation is supported by consideration and is in writing and signed by both parties. Section 5.10 Contractor Name Change The Contractor is respoosible for the performance of the Contract. lu the event the Coatractor chauges its name, the City Manager must be notified in writing immediately. No change in the obligatious of 13171 will be recognized ontil such chauge is approved by tbe City Manager. A fee of$100.00, payable to tile City, will be charged the Contractor for administrative costs in processing each change under this provision. The Contract will tbeu be modified to reflect the cbaoge. Page 8
