d. That the Director of the Board prepare the articles of dissolution for filing with the Secretary of State as set forth. in Article 6~O6 of the Texas Business Corporation Act :5711 e. That the Director of the Board is hereby authorized to take all further action necessary and desirable to dissolve the Corporation as soon as practiéable, including necessary filing requirements with the U. S. Internal Revenue Service. Part 3. Notification to the Texas Natural Resource Conservation Commission to acquire assets of Enm Water Companv. Inc. a. That the City Manager notify the Commission of the City's intent to merge the water system of the Corporation with that of the City of San Marcos and to request that the requirements of public notice set forth in Section 13.301(a) of the Texas Water Code be waived because of the prior stock transfer notification, the general common knowledge of the transaction in the service area, and the City's desire to incorporate the Corporation's service area within its municipal water system as rapidly as possible due to restrictions imposed by the Texas Constitution and the need to make water rates within the Corporation's service area consistent with the City's rates for other municipal water customers. Said notification and request for waiver of public notice shall commence as soon as practicable. b. That in the alternative, should waiver of the public notice requirements of Section 13.30 1 (a) of the Texas Water Code be denied, the City Manager provide public notice of the merger of the San Marcos municipal water system with that of the Corporation. Said notification to the Commission and public notice shall commence as soon as practicable.
