<br /> - . 37 <br /> STATE 0 F TEXAS <br /> CITY OF SAN MARCOS <br /> MAINTENANCE AGREEMENT <br /> This Maintenance Contract is made between the City of San Marcos, 630 East <br /> Hopkins, San Marcos, Texas (the "City") and Westfalia Separator, Inc., 725 Tollgate Road, <br /> Elgin, Illinois (the "Contractor"). <br /> 1. AGREEMENTS BY THE CONTRACTOR <br /> (A) Contractor agrees to provide the following maintenance services for the City: <br /> maintenance of the sludge dewatering centrifuge in accordance with the attached <br /> specifications which are made a part of this Agreement as if set forth fully herein. <br /> (8) Upon execution of this Contract, Contractor will provide the City at the address <br /> shown in this Contract a certificate of insurance evidencing at least the following levels of <br /> insurance coverage: <br /> Coverage Minimum Limits ($) <br /> .. <br /> Comprehensive General Liability 250,000/500,000/100,000 <br /> Motor Vehicle Liability 250,000/500,000/100,000 <br /> Workers' Compensation Texas Statutory Limits <br /> All insurance coverage except workers' compensation will name the City as an additional <br /> insured/or an insured, as its interests may appear. All certificates will provide that the <br /> policy will not be changed or canceled until at least 30 days written notice will have been <br /> given to the City. <br /> Insurance underwriters must be acceptable to the City. <br /> (C) The Contractor hereby agrees to hold harmless, defend, and indemnify the City and <br /> its officers and employees from and against all claims and expenses, including attorney's <br /> fees, arising in connection with work performed hereunder. <br /> (D) In performing the services required hereunder, the Contractor shall not discriminate <br /> against any person on the basis of race, color, religion, sex, national origin, age or <br /> disability. <br /> (E) In performing this Agreement, Contractor shall comply with all local, state and <br /> federal laws. <br /> 1 <br />
