- . 37 STATE 0 F TEXAS CITY OF SAN MARCOS MAINTENANCE AGREEMENT This Maintenance Contract is made between the City of San Marcos, 630 East Hopkins, San Marcos, Texas (the "City") and Westfalia Separator, Inc., 725 Tollgate Road, Elgin, Illinois (the "Contractor"). 1. AGREEMENTS BY THE CONTRACTOR (A) Contractor agrees to provide the following maintenance services for the City: maintenance of the sludge dewatering centrifuge in accordance with the attached specifications which are made a part of this Agreement as if set forth fully herein. (8) Upon execution of this Contract, Contractor will provide the City at the address shown in this Contract a certificate of insurance evidencing at least the following levels of insurance coverage: Coverage Minimum Limits ($) .. Comprehensive General Liability 250,000/500,000/100,000 Motor Vehicle Liability 250,000/500,000/100,000 Workers' Compensation Texas Statutory Limits All insurance coverage except workers' compensation will name the City as an additional insured/or an insured, as its interests may appear. All certificates will provide that the policy will not be changed or canceled until at least 30 days written notice will have been given to the City. Insurance underwriters must be acceptable to the City. (C) The Contractor hereby agrees to hold harmless, defend, and indemnify the City and its officers and employees from and against all claims and expenses, including attorney's fees, arising in connection with work performed hereunder. (D) In performing the services required hereunder, the Contractor shall not discriminate against any person on the basis of race, color, religion, sex, national origin, age or disability. (E) In performing this Agreement, Contractor shall comply with all local, state and federal laws. 1
