Management Committee. <br /> Both GBRA and the city agree to the creation of a management <br /> committee (the "Management Committee") consisting of up. to three <br /> representatives from each Party appointed by each party's chief <br /> executive officer. The Management Committee shall perform the <br /> following functions: <br /> '- <br /> (a) Oversee the design and construction of the Project; <br /> (b) Monitor changes in the construction projects to ensure <br /> compatibility with the objectives of this Agreement; <br /> (c) Recommend whether a consultant should be hired by the <br /> City to provide start-up services for the Plant and, if <br /> so, provide recommendations regarding consultant <br /> selection; <br /> (d) Review Plant Operator proposals and' provide <br /> recommendations to the City; <br /> . <br /> (e) Review annual budgets for the Plant submitted by the <br /> Plant Operator and provide recommendations to the City; <br /> ( f) Review annual budgets for the Raw Water Delivery System <br /> submitted by GBRA; <br /> (g) Review Plant and Raw Water Deli very System annual audited <br /> financial statements provided by the City and GBRA; and <br /> - <br />! (h) Perform other tasks that GBRA and the City jointly agree <br /> would be appropriate. <br /> Section 15. Budqets, Audits, and Records. <br /> The Plant Operator will provide the Management Committee with <br /> the first annual Plant budget four months prior to Plant start-up <br /> and subsequent annual budgets by May 1st of each year. The City <br /> and GBRA will also submit annual audited financial statements of <br /> the Plant and the Raw Water Delivery System to the Ma.nagement <br /> Committee by December 1. <br /> All books and records pertaining to this Agreement shall be <br /> open and available for copying, inspection, and audit by the City <br /> and GBRA. Appropriate retention schedules that comply with state <br /> laws shall be agreed upon by both Parties. <br /> -12- <br />
