<br /> -4- <br /> matters which are different from those described in this Contract or shown U, <br /> in Exhibit B, the Buyer must gi~he Seller written notice of any objections 7 Jt-S:. <br /> to the additional matters within days after the Effective Date. The Seller íI <br /> will have the right, but not the obligation, to cure any title m8rs and will7tIJl-~ <br /> give the Buyer written notice if it intends to cure no later than days after <br /> the Effective Date. If the Seller determines not to cure, the Buyer will have l4? <br /> the right to terminate this Contract during the Review Period under <br /> subparagraph 6.C or to proceed with the Contract. If the Buyer makes no <br /> objections within the time period provided above, or if the Buyer does not <br /> terminate under subparagraph 6.C, all title matters affecting the Property <br /> shall be deemed approved. <br /> B. The Seller will convey the Property to the Buyer by General Warranty Deed, <br /> subject only to any title exceptions approved or accepted by the Buyer under <br /> subparagraph 6.A. Delivery of the title policy under paragraph 7 will be <br /> deemed to fulfill all duties of the Seller as to the sufficiency of title required <br /> under this Contract. <br /> C. REVIEW PERIOD: TERMINATION. F or and in consideration of the <br /> Independent Consideration, the agreement by the Buyer to provide the Seller <br /> with copies of the survey, reports, studies and all other documents obtained <br /> by the Buyer as part of its investigation during the Review Period, the the <br /> Buyer's agreement to accept the Property "as is and where is," and other <br /> good and valuable consideration, the Seller grants to the Buyer the right to <br /> conduct an investigation, inspection and review of the Property and all of the <br /> Seller's records regarding the Property, and to terminate this contract in <br /> accordance with this subparagraph. Notwithstanding any provision of this <br /> Contract to the contrary, if the Buyer determines in its sole discretion that the <br /> Property is unsuitable for any reason for the Buyer's use, the Buyer may Jb <br /> terminate this Contract by deliverin~n~~1t~~/ termination to the Seller <br /> on or before 5:00 p.m. on the day a er the Effective Date (the <br /> "Termination Date"). The period from the Effective Date through the <br /> Termination Date is the "Review Period". If the Buyer terminates this <br /> Contract under this subparagraph, the Title Company will return the Earnest <br /> Money to the Buyer without requiring the consent or joinder of any other <br /> party. For the purpose of this subparagraph, notice of termination will be <br /> deemed delivered if sent by facsimile to the Seller at the facsimile number <br /> set forth below, with copies sent as provided in paragraph -12 of this <br /> Contract. During the entire period of this Contract, the Buyer, its agents, <br /> employees and representatives may enter the Property for the purposes of <br /> inspecting and conducting soil, subsoil and such other tests as determined <br /> by the Buyer. The Seller will cooperate with the Buyer in allowing the Buyer, <br /> its consultants, agents, representatives and employees to enter the Property <br /> for these purposes upon reasonable notice to the Seller. The Buyer will <br /> indemnify, defend and hold the Seller hannless against all liability caused by <br />
