49 ASSIGNMENT OF LEASE STATE OF TEXAS § § COUNTY OF HAYS § Assignment is made between the Texas Hill Country Chapter, National Association for the Advancement of Colored People, called Assignor in this Agreement, and the Willie Mae Mitchell Community Opportunity Center, called the Assignee in this Agreement. RECITALS WHEREAS, the City of San Marcos as Lessor and the Texas Hill Country Chapter, National Association for the Advancement of Colored People as Lessee entered into a Lease (the" Lease"), dated July 25, 1994 for 1.166 acres, more or less, of land being a portion of Fann Lot 12 in the City of San Marcos, Hays County, Texas (the "Property"); and WHEREAS, the Assignor now desires to assign the Lease to the Assignee, and the Assignee desires to accept the assignment. ASSIGNMENT AND AGREEMENT 1. In consideration of the sum of TEN AND NO/100 ($10.00) DOLLARS and other good and valuable consideration, the receipt and sufficiency of which is acknowledged by this Agreement, and the agreement of the Assignee set forth below, the Assignor assigns to the Assignee and Assignee's successors and assigns, all right, title and interest in and to the Lease and the Property. The Assignee accepts the assignment and expressly assumes and agrees to perform and fulfill aU the terms and covenants, conditions and obligations required by the Assignor as the Less~e under the Lease, including the making of all payments due to or payable on behalf of the Lessor when due and payable. 2. This assignment is also made subject to obtaining whatever consents may be required from the City of San Marcos under the terms of the above described Lease. 3.
