<br /> 28# <br /> a need to know information about the Confidential Information in <br /> connection with work they are performing for Client, provided <br /> that Client uses reasonable efforts to ensure that the <br /> Confidential Information is not duplicated or disclosed by its <br /> employees. <br /> 6.2 Copvriqht. The Licensed Software and Documentation are <br /> covered by a statutory copyright. Client agrees that any and all <br /> copyright or proprietary notices shall be retained or' reproduced <br /> in their exact form on all copies, both in machine readable and <br /> printed form. <br /> 6.3 Iniunctive Relief. If Client or any of its employees <br /> breaches or threatens to breach the obligations relating to use, <br /> copying, dissemination or disclosure of any portion of the <br /> Confidential Information, Sandpiper shall have the right, in <br /> addition to such other remedies which may be available to it, to <br /> injunctive' 'relief enj oining such acts or attempts ¡ it being <br /> acknowledged that legal remedies are inadequate. <br /> ARTICLE 7 - DEFAULT <br /> 7.1 Default. The occurrence of any of the following events <br /> shall constitute an event of default (" Event of Default"-) under <br /> this Agreement: ~ <br /> (a) If a party ceases to do business, makes an <br /> assignment for the benefit of creditors, becomes insolvent <br /> (as revealed by its books and records or otherwise), is <br /> generally unable to pay its debts as such debts become due, <br /> or commences, or has conunenced against it a case under any <br /> chapter of state or federal bankruptcy laws. <br /> (b) If a party fails to observe or perform any <br /> material nonpayment obligation under this Agreement, other <br /> than a breach of any confidentiality obligation, and fails <br /> to take action to remedy any such breach within sixty (60) <br /> days after written notice thereof by the other party. <br /> (c) If a party fails to observe or perform any <br /> confidentiality obligation under this Agreement and fails to <br /> cure such breach within three (3 ) days, if a cure is <br /> available, and if a cure is not available¡ then immediately. <br /> (d) If a party fails to pay any amounts due under this <br /> Agreement as and when due and such failure to pay continues <br /> for a period of three (3) days thereafter. <br /> 7.2 Client Remedies Upon Sandpiper Default. Upon the <br /> occurrence of any Event of Default by Sandpiper, Client may at <br /> its option, without prejudice to any other rights or remedies <br />
