Electric System Inspection Services Program Agreement (page 2 of 3) <br />CONTRACT DELIVERABLE <br />This Program Agreement provides for the following deliverables: <br />At the completion of each visual inspection a set of updated maps showing all deficiencies found in the <br />system. The deficiencies will be keyed on the map. The items will be prioritized so that those requiring <br />immediate attention will be noted. Any item that is a present potential hazard to the health, welfare, and <br />safety to the public will be immediately brought to the customer staff by the inspector. An estimate of the <br />cost to repair or replace will be given with the maps. <br />The infrared inspection report will have a set of updated maps with the hotspots noted on the map. A color <br />photograph of the infrared image along with a normal photograph will be furnished with the photographs <br />keyed to the location on the map. The repot will also indicate the temperatures of the hotspots and the <br />reference temperature for comparison. The items will be prioritized so that those requiring immediate <br />attention will be noted. Any item that is a present potential hazard to the health, welfare, and safety to the <br />public will be immediately brought to the customer staff by the inspector. <br />CONFIDENTIAL WORK PRODUCTS <br />Any data, models, maps, graphical products or other materials provided by Customer to LCRA for purposes of this <br />Agreement remain the property of the Customer. All software, data, computer models, maps, graphical products <br />and other deliverables under this Agreement developed or utilized by LCRA in the performance of this Agreement <br />have been developed or acquired by LCRA at considerable expense, and shall be considered competitive, <br />proprietary information belonging to LCRA. Customer agrees not to disclose or release any of the above-listed <br />deliverables to any third patty without LCRA's consent. Not withstanding the foregoing, any hard copies of the <br />Deliverables provided to Customer by the LCRA shall be the property of the Customer. <br />CONTRACT TERM <br />The contract term for this Program Agreement shall be for one inspection cycle as agreed between the parties on the <br />attached pricing sheet. The Program Agreement shall be automatically renewed at the end of each inspection cycle <br />unless terminated by either party. <br />TERMINATION <br />Either party may terminate this Program Agreement by giving a ninety- (90) day notice to the other party. <br />Termination of this Program Agreement shall not affect the Agreement for Technical Services or any other Program <br />Agreement, but termination of the Agreement for Technical Services automatically terminates all Program <br />Agreements. If this Program Agreement is terminated, any overpayment of the retainer shall be reimbursed to the <br />Customer after the costs of services have been paid. <br />CONTRACTFEES <br />Fees for work under this Agreement <br />See attached price sheet "Pricingfor Electric System Inspection Program" <br />The LCRA will notify the customer upon the delivery of the final inspection in a cycle of the new fee for continuing <br />the service for another cycle in a new "Pricing for Electric System Inspection Program" which will become a part of <br />this Agreement <br />L O W E R C O L O R A D O R I V E R A U T H O R I T Y
