<br />lYJ. <br /> <br /> <br />EXTENT OF AGREEMENT <br /> <br />11.1 This Agreement represents the entire and integrated Agreement between the CITY <br />and the PROGRAM MANAGER and supersedes all prior negotiations, representations or <br />agreements either written or oral. Except as to additional services, the compensation for <br />which does not exceed $15,000, this Agreement may be amended only by written <br />instrument approved by the CITY's governing body and signed by both the CITY and <br />PROGRAM MANAGER. . <br /> <br /> <br />I <br />11.2 All Exhibits and Attachments attached to this Agreement are incorporated by <br />! reference into this Agreement as though included verbatim herein. <br /> <br />11.3 In the event of any conflict between the provisions of this Agreement and the <br />provisions of any Exhibit or Attachment to this Agreement, the provisions of this Agreement <br />will govern and control. <br /> <br />ARTICLE 12 <br />OTHER DUTIES AS SET FORTH IN THE CONSTRUCTION DOCUMENTS <br /> <br />12.1 The PROGRAM MANAGER will have such other duties and responsibilities and <br />limitations of authority are set forth in the construction contract documents for the, <br />Construction Projects. However, in the event of conflict, dispute, or djscrepancy between <br />the provisions of this Agreement and the construction contract documents, the more <br />specific and descriptive provisions will govern and control. <br /> <br />ARTICLE 13 <br />BASIS OF COMPENSATION <br /> <br />The CITY will compensate the PROGRAM MANAGER, in accordance with Article <br />5, Payments to the PROGRAM MANAGER, and the other terms and conditions of this <br /> <br /> Agreement, as follows: <br />, J <br />13.1 BASIC COMPENSATION <br /> <br />13.1.1 The total of all payments paid to PROGRAM MANAGER for Basic Services and <br />Resident Services, as described in Section 1.2, will not exceed amount of $332,912.00. <br />At present $1,120,328.00 is available to pay for preconstruction aspects of the PROGRAM <br />MANAGER's services. PROGRAM MANAGER is required to monitor its work so that its <br />costs do not exceed the amount available. The CITY reserves the right to direct <br />PROGRAM MANAGER to cease work on this Project until such time that the remaining <br />funding is in place. If the CITY directs PROGRAM MANAGER to cease work, CITY will <br />provide the PROGRAM MANAGER with written authorization to begin work once remaining <br />funding is in place. In the event a suspension or work stoppage continues for ninety (90) <br />consecutive days, PROGRAM MANAGER shall have the right, upon giving notice to CITY, <br /> <br /> <br />10 <br />
