<br /> ÆZF <br /> ARTICLE-9 <br /> SUCCESSORS AND ASSIGNS <br /> 9.1 The CITY and the ENGINEER, respectively, bind themselves, their partners, <br /> successors, assigns and legal representatives to the other party to this Agreement and to <br /> the partners, successors, assigns and legal representatives of such other party with <br /> respect to all covenants of this Agreement. Neither the CITY nor the ENGINEER will <br /> assign, sublet or transfer any interest in this Agreement without the written consent of the <br /> ~n other. <br /> ARTICLE 10 <br /> EXTENT OF AGREEMENT <br /> 10.1 This Agreement represents the entire and integrated Agreement between the CITY <br /> and the ENGINEER and supersedes all prior negotiations, representations or agreements <br /> either written or oral. Except as to additional services, the compensation for which does <br /> not exceed $15,000, this Agreement may be amended only by written instrument approved <br /> by the CITY's governing body and signed by both the CITY and ENGINEER. <br /> 10.2 All Exhibits and Attachments attached to this Agreement are incorporated by <br /> reference into this Agreement as though included verbatim herein. <br /> . <br /> 10.3 In the event of any conflict between the provisions of this Agreement and the <br /> provisions of any Exhibit or Attachment to this Agreement, the provisions of this Agreement <br /> will govern and control. <br /> ARTICLE 11 <br /> BASIS OF COMPENSATION <br /> The CITY will compensate the ENGINEER, in accordance with Article 3, Payments <br /> to the ENGINEER, and the other terms and conditions of this Agreement, as follows: <br /> 11.1 BASIC COMPENSATION <br /> 11.1.1 The total of all payments paid to ENGINEER for Basic Services, as described in <br /> Section 1.2, will not exceed a total amount of $1 00,872.00. Payment for all Unit Cost items <br /> for Phases I and II, including any subcontracted activities, shall be compensated on a Unit <br /> Cost basis as set forth in Attachment B. Payment for all Estimated Hour items will be on <br /> an hourly basis in accordance with Attachment C. . <br /> 11.1.2 The total basic fee amount will not be exceeded by ENGINEER without a written <br /> amendment to this Agreement approved by the CITY's governing body. <br /> 11.2 COMPENSATION FOR ADDITIONAL SERVICES <br /> 7 <br />
