<br /> " '"' 7'lA <br /> Development Corporation Adjustable Rate Demand Industrial Development Revenue <br /> Bonds, Series 1995 (Butler Manufacturing Company Project); a Loan Agreement; a <br /> Trust Indenture; and a Bond Purchase Agreement, and Other Matters in Connection <br /> Therewith, adopted by the Corporation on March 22, 1995 (the "Corporation <br /> Resolution"), a copy of which is attached hereto as Exhibit B and made a part hereof <br /> for all purposes, is hereby specifically approved. <br /> PART 2: The Bonds, which are issued: <br /> <br /> .- - A. In the maximum aggregate face amount of $6,250,000, and <br /> B. To finance the costs of acquiring, improving, constructing, and <br /> equipping of a manufacturing facility for the manufacturing of prefabricated <br /> buildings and other similar projects, which will be located at 2301 North 1-35 <br /> Highway, San Marcos, Texas, and will be initially owned, operated, and managed <br /> by Butler Manufacturing Company, <br /> are hereby approved pursuant to section 147(f) of the Code. <br /> PART 3: The approval herein given is in accordance with the provisions of <br /> Section 25(f) of the Act, and is not to be construed as any undertaking by the Unit, and <br /> .the Bonds shall never constitute an indebtedness or pledge of the Unit, or the State of <br /> Texas, within the meaning of any constitutional or statutory provision, and the holder <br /> of the Bonds shall never be paid in whole or in part out of any funds raised or to be <br /> raised by taxation or any other revenues of the Corporation, the Unit, or the State of <br /> Texas except those revenues assigned and pledged by the Corporation Resolution. <br /> PART 4: The programs and expenditures authorized and contemplated by the <br /> Corporation Resolution are hereby in all respects approved. <br /> PART 5: The City Council consents to the recommendation of the Board of <br /> Directors of the Corporation that Annual Continuing Fees to be assessed Butler <br /> Manufacturing Company upon delivery of the Bonds be waived. <br /> PART 6: The Mayor and City Secretary of the Unit and the other officers of <br /> the Unit are hereby authorized, jointly and severally, to execute and deliver such <br /> endorsements, instruments, certificates, documents, or papers necessary and advisable <br /> to carry out the intent and purposes of this Resolution. <br /> 141158/AO -2- <br /> ~ <br />
