?¡b 3.08 Lessee agrees to repay Lessor for funds expended under the Grant Contract in the event Lessee does not fulfill its responsibilities under this Article. 3.09 Lessee agrees to obtain Lessor's approval before incurring additional debt during the period of the Grant Contract. 3.10 Lessee agrees to obtain the written consent of TDHCA before <~~ transferring assets (Le., cash, inventory, accounts receivable) out of the Lessee, except in the normal course of business, during the period of the Grant Contract. 3.11 Lessee ~grees that its principals may not reduce their proportionate ownership in the Lessee without prior approval of the Lessor. 3.12 Lessee certifies that all taxes owed by it are current, and that it will pay all future taxes when due. , 3.13 Lessee agrees not to sublease the Leased Premises during the period of the Grant Contract without the approval of TDHCA. Lessee agrees that if it is permitted to sublease, it will forward all payments received to the Lessor. 3.14 Lessor will make quarterly on-site visits to the Lessee during the period of the Grant Contact to assess/monitor the progress towards job creation. Lessee will provide the Lessor's representatives information regarding job creation at the time of on-site visits, and any other information deemed necessary by Lessor to administer the Grant Contract. 3.15 Lessee agrees to keep records and make reports regarding the documentation of low and moderate income benefit and beneficiaries by race, ethnicity, gender, and handicap status in the same manner and to the same extent as the THDCA requires of Lessor. 3.16 Lessee agrees to submit to Lessor documentation of Lessee's executed loan (line of credit) agreement from Texas Capital Bank, in Austin, to be utilized in conjunction with the Hangar construction, within thirty (30) days of the execution of this Lease. 3.17 Lessee agrees to submit to Lessor within thirty (30) days of the -5-
