<br /> ý5'F <br /> ARTICLE 5 <br /> OBLIGATIONS OF SMCISD <br /> 5.01 SMCISD hereby agrees to that it will perform any and all <br /> obligations of the SMCISD as set forth herein as part of its <br /> obligations and agreements under the terms and provisions of <br /> this Agreement. <br /> 5.02 SMCISD agrees to serve as the Project Manager for the <br /> construction of the Project as described in this Agreement, <br /> and agrees to perform the services of the Project Manager as <br /> set forth in this Agreement. <br /> 5.03 SMCISD warrants that it has the full power and authority <br /> to enter into this Agreement and fulfill its obligations <br /> hereunder, and that it has funds readily available from <br /> current revenues to meet its obligations under this Agreement <br /> and that it will pay its obligations under this Agreement from <br /> current revenues. <br /> 5.04 SMCISD represents, warrants and agrees that it will <br /> promptly and timely pay SMCISD's share of all costs and <br /> expenses to be paid under the terms of this Agreement. <br /> 5.05 The SMCISD agrees that the Board of Trustees of the <br /> SMCISD has authorized the SMCISD to enter into this Agreement. <br /> 5.06 The SMCISD agrees that it will provide the use of any <br /> and all easements and rights-of-way owned by the SMCISD <br /> necessary or required for the construction of the work covered <br /> by the Project Documents and for the operation, use and <br /> maintenance of the Project. <br /> -7- <br /> INTERLOc.'U, AGREEMBNT FOR ROADWAY IMPROVEMENTS <br />
