ARTICLE X1V <br />PAYMENT OF ATTORNEY GENERAL FEE <br />Section 14,01. Payment of Attorney General Fee. <br />The City hereby authorizes the disbursement of a fee equal to the lesser of (i) one-tenth of one percent <br />of the principal amount of the Certificate or (ii) $9,500, for each series provided that such fee shall not be less <br />than $750, to the Attorney General of Texas Public Finance Division for payment of the examination fee <br />charged by the State of Texas for the Attorney General's review and approval of public securities and credit <br />agreements, as required by Section 1202.004 of the Texas Government Code. The appropriate member of the <br />City's staff is hereby instructed to take the necessary measures to make this payment. The City is also <br />authorized to reimburse the appropriate City funds for such payment from proceeds of the Certificate. <br />ARTICLE XV <br />MUNICIPAL BOND INSURANCE <br />Section 15,01. Provisions Relatine to Bond Insurance. <br />Definitions. <br />"Ambac Assurance" shall mean Ambac Assurance Corporation, a Wisconsin~omiciled stock insurance <br />company. <br />"Financial Guaranty Insurance Policy" shall mean the financial guaranty insurance policy issued by <br />Ambac Assurance insuring the payment when due of the principal of and interest on the Obligations as <br />provided therein. <br />A. Consent of Ambac Assurance. <br />Any provision of the Ordinance expressly recognizing or granting rights in or to Ambac <br />Assurance may not be amended in any manner which affects the rights of Ambac Assurance under the <br />Ordinance without the prior written consent of Ambac Assurance. Ambac Assurance reserves the nght <br />to charge the City a reasonable fee for any consent or amendment to the Ordinance while the Financial <br />Guaranty Insurance Policy is outstanding. <br />B. Consent of Ambac Assurance in lieu of Holder Consent. <br />Ambac Assurance's consent shall be required in lieu of holder consent, when required, for the <br />following purposes• (i) execution and delivery of any amendment, supplement or change to or <br />modification of the Ordinance; (ii) removal of the Paying Agent and selection and appointment of any <br />successor pa}nng agent and (iii) initiation or approval of any action not described in (i) or (ii) above <br />which requires holder consent. <br />San Marcos C7RC0 2007B: Ordinance <br />
