<br />58'~ <br /> <br />7.10 All services provided pursuant to this Agreement are for <br />the exclusive use and benefit of CITY. <br /> <br />7.11 In performing this Agreement, CONSULTANTS will comply <br />with all local, state and federal laws. <br /> <br /> <br />7.12 All requirements set forth in the Certified Local <br />Government Grant Agreement between the CITY and the Texas <br />Historical Commission, and any successor to that governmental <br />entity, are incorporated by reference hereto and will be as <br />binding upon the CONSULTANTS as if contained herein. <br /> <br />7.13 The CITY is governed by the Texas Open Records Act <br />("ORA"), Chapter 552 of the Texas Government Code. This Agreement <br />and all written information generated under this Agreement may be <br />subject to release under the ORA. <br /> <br />ARTICLE 8 <br />SUCCESSORS .AND ASSIGNS <br /> <br />8 . 1 The CITY and the CONSULTANTS , respectively, bind <br />themselves, their partners, successors, asslgns and legal <br />representatives to the other party to this Agreement and to the <br />partners, successors, assigns and legal representatives of such <br />other party with respect to all covenants of this Agreement. <br />Neither the CITY nor the CONSULTANTS will assign, sublet or <br />transfer any interest in this Agreement without .the written <br />consent of the other. <br /> <br />. <br /> <br />ARTICLE 9 <br />EXTENT OF AGREEMENT <br /> <br />9.1 This Agreement represents the entire and integrated <br />agreement between the CITY and the CONSULTANTS and supersedes all <br />prior negotiations, representations or agreements, either written <br />or oral. This Agreement may be amended only by written instrument <br />signed by both CITY and CONSULTANTS. <br /> <br />ARTICLE 10 <br />BASIS OF COMPENSATION <br /> <br />10.1 The CITY will compensate the CONSULTANTS for the Scope <br />of Services provided, in accordance with Article 3, Payments to <br />the CONSULTANTS, and the other terms and conditions of this <br />Agreement, as follows: <br />The total fee paid to CONSULTANTS will not exceed $6,000.00. <br /> <br />Task 1 - Field Investigation: <br /> <br />$1,325.00 <br />$1,000.00 <br /> <br />Task 2 - Research: <br /> <br />Task 3 - Materials Preparation <br />process inventory/survey forms: <br />slide labels/photo index/data input: <br />map drafting and graphics <br /> <br />$ 725.00 <br />$ 625.00 <br />$ 400.00 <br /> <br />Task 4 - Report <br />writing/editing: <br />finalization/printout: <br /> <br />$ 825.00 <br />$ 75.00 <br />
