SCOPE OF ENGAGEMENT <br /> . <br /> A. Matters Involved. Client agrees to employ the Attorneys <br /> to undertake the legal representation of the Client in the case of <br /> Kencon Constructors-Construction Manaqers, Inc. v. city of San <br /> Marcos as directed by client (hereinafter referred to as the <br /> "Matter"). <br /> B. Communications For Aqreement Only. Attorneys explained <br /> to Client at the beginning of the discussions leading to the <br /> execution of this Agreement that no Attorney-Client relationship <br />I existed concerning this Matter between Client and Attorneys, and <br />I that the only for obtaining the information heretofore <br /> reason <br /> passing between the Client and Attorneys was to enable each party <br /> to reach an arms length understanding and agreement concerning the <br /> basis for this employment. The information discussed between the <br /> Client and Attorneys was nonetheless personal and confidential to <br /> the Client and should be protected by Attorneys and privileged <br /> against disclosure. <br /> C.
