However, in the event of conflict, dispute, or <br /> discrepancy between the provisions of this Agreement and the construction contract <br /> documents, the more restrictive and/or burdensome provisions will govern and control. <br /> ARTICLE 12 <br /> BASIS OF COMPENSATION <br /> The CITY will compensate the ENGINEER, in accordance with Article 5, Payments <br /> to the ENGINEER, and the other terms and conditions of this Agreement, as follows: <br /> 12.1 BASIC COMPENSATION <br /> . <br /> 12.1.1 The total of all amounts paid to ENGINEER for Basic Services, as described in <br /> Section 4,1, will not exceed $1,678,000.00, At present approximately $370,000 is <br /> available to pay for ENGINEER's services, ENGINEER is required to monitor its work so <br /> that its costs do not exceed the amount available, The CITY reserves the righrto direct <br /> ENGINEER to cease work on this Project once this limit of available funds is reached, until <br /> such time that the remaining funding is in place, If the CITY directs ENGINEER to cease <br /> work, CITY will provide the ENGINEER with written authorization to begin work once the <br /> remaining funding is in place, The total basic fee amount will not be exceeded by <br /> ENGINEER without a written amendment to this contract approved by the CITY's <br /> governing body, <br /> 12.2 COMPENSATION FOR ADDITIONAL SERVICES <br /> 12,2,1 Compensation for additional services of the ENGINEER, as described in Section <br /> 1.7, will be in an amount equal to the ENGINEER's payroll costs times 2.3 plus <br /> reimbursable expenses plus subcontract billings, ENGINEER will submit a written estimate <br /> of fees for additional services and obtain CITY approval prior to initiating the work, <br /> 12.3 PAYROLL COSTS DEFINITION <br /> ENGINEER's payroll costs are defined as the cost of salaries for time directly chargeable <br /> to the Project plus social security contributions, unemployment, excise and payroll taxes, <br /> employment compensation insurance, retirement benefits, medical and insurance benefits, <br /> sick leave, vacation, and holiday pay applicable thereto, <br />
