TITLE <br /> -, . <br /> Titl~ to the Equipment shall pass from DYNIX to THE CITY upon successful completion of the Hardware <br /> Functionality T~st descrihèd in Rider H and paym~nt of the associated invoice from Rider F. <br /> 13. TRAINING <br /> DYNIX will provide training sessions on the operation and use of the System for THE CITY.s personnel <br /> as set forth in Rider D, Schedule 2 at times to be agreed upon by DYNIX and THE CITY. <br /> DYNIX agrees to provide at DYNIX's then published rates periodic review sessions and training then being <br /> offered. Any additional training requested as a result of hardware and/or software upgrade to the System <br /> purchasèd under this Agreement will be provided as agreed upon by DYNIX and THE CITY. <br /> 14. DOCUMENT A nON <br /> DYNIX shall provide system documentation and training manuals in various formats for the operation and <br /> maintenance of the Syst~m. Such documentation shall include: <br /> A. DYNIX produced docum~ntation, users manuals, training materials and subscriptions as detailed in <br /> Rider D, Schedul~ 5. <br /> B. Appropriate user documentation for all peripherals supplied by DYNIX, including at least one copy <br /> per site of ~ch of the manuals for ~ch type of equipment installed at that site, to arrive with the <br /> peripherals. <br /> C. One set of documentation for the computer that describes such activities As system boots, file saves, <br /> tape loading, and proper handling of the hardware. Said documentation will arrive with the CPU. <br /> THE CITY may photocopy or otherwise reproduce DYNIX copyrighted documentation and training materials <br /> for training or oth~r internal uses provided that DYNIX's statement of copyright be included on each copy. <br /> 15. SOFTW ARE LICENSE <br /> A. GENERAL <br /> Suhjcçt to the tenTIS and conditions hef<:)inafter set forth, DYNIX hereby grants to THE CITY a <br /> nontransferable, nonexclusive and royalty-free liœnse (the "License") to use the Licensed Software <br /> solely in th~ conduct of the business of THE CITY on the specific computer or computers listed in <br /> Rider B and for the number of users specitied in Rider C. Liœnsed Software will be provided by <br /> DYNIX to THE CITY pursuant to the terms of this Agreement, only in machine-readable object code. <br /> THE CITY acknowledges that by virtue of this License, THE CITY acquires only the right to use the <br /> original and pennitted duDlicate copies of the Licensed Software as described herein and dœs not <br /> acquire any rights of o""~' ~rship in the Licensed Software which rights shall remain exclusively with <br /> DYNIX.
