<br /> &6£ - <br /> "Designated Payment/Transfer Office" means (i) with respect to the initial Paying Agent/Registrar <br /> named herein, its corporate trust office in Dallas, Texas, and (2) with respect to any successor Paying <br /> Agent/Registrar, the oft ice of such successor designated and located as may be agreed upon by the City <br /> and such successor. <br /> "DTC" shall mean The Depository Trust Company of New York, New York. or any successor <br /> securities depository. <br /> "DTC Participant" shall mean any broker, dealer, bank, trust company, clearing corporation or <br /> certain other organizations with Certificates credited to an account maintained on its behalf by DTC. <br /> "Event of Default" means any Event of Default as defined in Section 10.01 of this Ordinance. <br /> "Initial Certificate" means the Certificate described in Section 3.04(d) and 6.02(d). <br /> "Interest and Sinking Fund" means the interest and sinking fund established by Section 8.01(a) <br /> of this Ordinance. . ' <br /> "Interest Payment Date" means the date or dates upon which interest on the Certificates is <br /> scheduled to be paid until the maturity of the Certificates, such dates being February 15 and August 15 <br /> of each year commencing February 15, 1995. <br /> "Ordinance" means this Ordinance. <br /> ~ <br /> "Original Issue Date" means the initial date from which interest on the Certificates accrues and <br /> which is designated in Section 3.02(a) of this Ordinance. <br /> "Owner" means the person who is the registered owner of a Certificate or Certificates, as shown <br /> in the Register. <br /> "Paying Agent/Registrar" means The Frost National Bank, any successor thereto or an entity <br />- which is appointed as and assumes the duties of paying agent/registrar as provided in this Ordinance. <br /> "Purchaser" means the person, firm or entity initially purchasing the Certificates from the City <br /> and which is designated in Section 7.01 of this Ordinance. <br /> "Record Date" means the last business day of the month next preceding an Interest Payment Date. <br /> "Register" means the Register specified in Section 3.06(a) of this Ordinance. <br /> "Representation Letter" means the Letter of Representations with respect to the Certificates, <br /> between the City and DTC. <br /> "Special Payment Date" means the Special Payment Date prescribed by Section 3.03(b) of this <br /> Ordinance. <br /> "Special Record Date" means the Special Record Date prescribed by Section 3.03(b) of this <br /> Ordinance. <br /> SANMAR\CO9o<\DOCS\OJU)NClCI7 ,:31: IS1:HBBP 2 <br />
