<br />- <br /> <br />144 <br /> <br /> <br />AMENDMENT NO. 1 <br />COMPUTER SOFTWARE LICENSE <br />AND MAINTENANCE AGREEMENT <br /> <br />STATE OF TEXAS <br /> <br />COUNTY OF HAYS <br /> <br />The <br />Systems <br />Software <br />30, 1993 <br /> <br />City of San Marcos ("CITY") and <br />("DBI") do hereby agree to amend <br />License and Maintenance Agreement 1 <br />(the "Contract"). <br /> <br />DB Information <br />the Computer <br />dated December <br /> <br />l. <br />release <br />City's <br />software <br />Contract. <br /> <br />The City and DBI acknowledge that DBI has installed <br />no. 2.3 of its BADGE application software on the <br />Municipal Court computer system, and~ that this <br />does not meet the functional requirements of the <br /> <br />2. The City and DBI agree that no payments will be due <br />to DBI from the City until DBI successfully completes the <br />installation of BADGE software meeting the functional <br />requirements of the Contract. <br /> <br />3. The City 1 at its option, may proceed with the <br />set-up, testing, and use of release no. 2.3 of the BADGE <br />software pending the installation, of upgraded software by <br />DBI, at no charge or other obligation. If the City proceeds <br />to set-up and use this release no. 2.3, DBI agrees to provide <br />for the conversion of information from release no. 2.3 to the <br />upgraded software at its sole cost at the time of <br />installation of the upgraded software. <br /> <br />4. If DBI does not successfully complete the <br />installation of BADGE software meeting the functional <br />requirements of the Contract by June 30, 1994, the City may, <br />at its option, terminate the Contract. If the City <br />terminates the Contract it will allow DBI 30 days to remove <br />release no. 2.3 of the BADGE software from the City's <br />Municipal Court computer system. <br /> <br />5.
