The fixed limit of construction COSL may be increased by CITY. 3.2.3 If the lowest bona fide bid exceeds the CONSULTANT's most recent approved cost estimate established as a condition of this Agreement, the OWNER will (1) give written approval of an increase in such fixed limit, (2) authorize rebidding of the Project within a reasonable time, or (3) cooperate in revising the Project scope and quality to reduce the construction cost. During the development of the Project through the phases described in Article 1 of this Agreement and prior to the CITY's final approval of construction contract documents, the CONSULTANT will monitor the estimated probable construction cost in relation to the established fixed limit. If necessary, the CONSULTANT will implement construction cost savings measures or otherwise endeavor to limit probable construction cost to the level of available funds set by the CITY. ARTICLE 4 REIMBURSABLE EXPENSES 4.1 Reimbursable expenses are to be charged to the CITY by the CONSULTANT at actual cost and will include such things as expenses for transportation, equipment, travel, communications, subsistence and lodging away from home, reproduction, printing and binding of contract documents and similar incidentals. ARTICLE 5 PAYMENTS TO THE CONSULTANT . 5.1 PAYMENTS ON ACCOUNT OF BASIC SERVICES 5.1.1 Payments for Basic Services will be made to CONSULTANT monthly following receipt by CITY of CONSULTANT's invoices. The amounts of these invoices will be based upon the extent of work in each Part and Phase in progress completed by the CONSULTANT on a percentage basis, provided, that payments for each Part and Phase of work in progress will not exceed the compensation amount specified for that Part and/or Phase in Section 13.1. The CITY may withhold any disputed amounts, pending resolution thereof. 5.2 PAYMENTS ON ACCOUNT OF ADDITIONAL SERVICES 5.2.l Payments on account of the CONSULTANT's Additional Services as defined in Paragraph 1.5 will be made monthly upon presentation of the CONSULTANT's statement of services rendered or expenses incurred, less any disputed amounts, pending resolution thereof. ARTICLE 6 CONSULTANT'S RECORDS 6.1 All expense records of CONSULTANT will be kept on a recognized accounting basis acceptable to the CITY and will be available to the CITY or the CITY's authorized representative at mutually convenient times. -16-
