<br />'- ,_. <br /> 78 <br /> INTERLOCAL AGREEMENT CONCERNING <br /> EMERGENCY MEDICAL SERVICES <br /> STATE OF TEXAS <br /> COUNTY OF HAYS <br /> This Agreement is made between THE CITY OF SAN MARCOS, TEXAS <br /> (City), a Texas municipal corporation, the COUNTY OF HAYS, TEXAS, <br /> (County), and the SAN MARCOS/HAYS COUNTY EMERGENCY MEDICAL SERVICES, <br /> INCORPORATED (EMS), a Texas non profit corporation, pursuant to the <br /> authority and terms of the Texas Interlocal Cooperation Act, as <br /> amended. <br /> 1. PURPOSE <br /> The purpose of this Agreement is to provide high quality <br /> emergency medical services at reasonable cost for the residents of the <br /> City and the County. <br /> .. <br /> 2. EMS TAX EXEMPT STATUS: BOARD COMPOSITION <br /> 2.01. EMS will use its best efforts at all times to maintain its <br /> status as a tax exempt non profit corporation pursuant to the laws of <br /> the State of Texas and regulations of the Internal Revenue Service <br /> governing such organizations. <br /> 2.02. EMS will be governed by a five,member Board of Directors (the <br /> "EMS Board") with the following composition: <br /> (a) two members of the City Council of the City to be <br /> appointed by the City Council to serve two year terms; <br /> (b) two members of the Hays County Commissioners Court <br /> appointed by the Commissioners Court to serve two year <br /> terms; and <br /> (c) one physician appointed by the remaining members of the <br /> EMS Board, to serve a one year term. <br />
