<br /> {¡£ <br /> 6. <br /> 9. <br /> INDEMNITY <br /> It is understood and agreed between the parties that Mensor, in executing this Agreement, and in <br /> performing their respective obligations hereunder, is acting independently, and the City assumes no <br /> responsibilities or liabilities in connection therewith to third parties and Mensor agrees to indemnify, defend <br /> and hold the City harmless therefrom. <br /> 10. <br /> NOTICE <br /> All notices called for or required by this Agreement shall be delivered to the following by certified <br /> mail, postage pre-paid, effective five days after mailing, or by hand delivery, effective upon delivery: <br /> Jerry Fruit <br /> Mensor Corporation <br /> 2230 IH-35 South <br /> San Marcos, TX 78666 - <br /> City Manager <br /> City of San Marcos <br /> 630 East Hopkins <br /> San Marcos, Texas 78666 <br /> Either party may change this address by written notice to the other party. <br /> II. <br /> CITY COUNCIL AUTHORIZATION <br /> This Agreement was approved by Resolution of the City Council at its Council Meeting on the <br /> 10th day of October ,1994, authorizing the City Managerto execute this Agreement on behalf <br /> of the City. <br /> 12. <br /> SEVERABILITY <br /> In the event any section, subsection, paragraph, sentence, phrase or word is held invalid, illegal <br /> or unconstitutional, the balance of this Agreement shall remain in effect and shall be read as if the parties <br /> intended at all times to delete the invalid section, subsection, paragraph, sentence, phrase or word. <br />
