CAn PS; AEMW,.. <br />capital improvements, expansion and decommissioning related to the Facility. <br />(b) Dispatch and Settlement. LCRA shall perform dispatch and settlement services <br />( "Services ") for the Facility and San Marcos. Services include, but are not limited to: <br />(i) Qualified Scheduling Entity. LCRA will act as the resource Qualified <br />Scheduling Entity and Resource Entity for the Facility. <br />(ii) Registration. LCRA shall provide the services necessary to ensure the <br />registration of the Facility. <br />(iii) Dispatch. At LCRA's sole discretion, LCRA will offer the Facility's Energy and <br />Capacity into the ERCOT markets and will dispatch the Facility according to the <br />ERCOT Binding Documents. <br />(iv) Settlement with ERCOT. LCRA will receive payments and charges from <br />ERCOT on behalf of San Marcos and assign such payments or charges to San <br />Marcos in accordance with its Participation Share. <br />(v) Additional Services. LCRA will perform any additional services that in LCRA's <br />judgment are appropriate in the ERCOT market as that market is structured now <br />or in the future. <br />(c) Decommissioning. Any decision by LCRA to permanently discontinue operation and <br />decommission the Facility will initiate the Windup Events under Article 10. <br />(d) SAN MARCOS UNDERSTANDS THAT . THE COMPLEXITIES AND <br />UNCERTAINTIES INHERENT IN THE ERCOT SYSTEM AND NODAL MARKET <br />MAKE IT IMPOSSIBLE FOR THE PARTIES TO PREDICT THE FUTURE <br />PERFORMANCE OF THE FACILITY. LCRA MAKES NO WARRANTIES OR <br />REPRESENTATIONS, EXPRESS OR IMPLIED, WITH RESPECT TO THE <br />SERVICES OR FACILITY, INCLUDING THAT THE FACILITY WILL BE <br />DISPATCHED ECONOMICALLY IN ANY ERCOT MARKET OR THAT LCRA'S <br />OPERATIONS WILL PRODUCE A FINANCIAL BENEFIT FOR SAN MARCOS. <br />ARTICLE 5. REVENUES AND PAYMENT <br />(a) Participation Expenses. San Marcos will be responsible for its Participation Share of all <br />Participation Expenses incurred by LCRA. Such payments will be made in following <br />manner: <br />(i) Prior Participation Expenses. Following the Effective Date, LCRA will provide <br />San Marcos with an invoice showing all Participation Expenses incurred and <br />recorded by LCRA up to the Effective Date ( "Prior Participation Expenses "). <br />Within thirty (30) days of the receipt of such invoice, San Marcos will pay LCRA <br />its Participation Share of the Prior Participation Expenses. <br />Participation Agreement between <br />Lower Colorado River Authority Page 7 of 26 <br />and City of San Marcos <br />
