J30A P Ordinance and which shall not adversely affect the interests or the Holders of the Parity Bonds; (3) To modify any of the provisions of this Ordinance in any other respect whatever, provided that (i) such modification shall be, and be expressed to be, effective only after all Parity Bonds outstanding at the date of the adoption of such modification shall cease to be outstanding, and' (ii) such modification shall be specifically referred to in the text of all Parity Bonds issued after the date of the adoption of such modification. Section 14.02. Notices to Holders: Waiver. (a) Wherever this Ordinance provides for notice to Holders of any event, such notice shall be sufficiently given (unless otherwise herein expressly provided) if in writing and sent by United States mail, first class postage prepaid, to the address of each Holder entitled to receive such notice as it appears in the Registration Books. In any case where notice to Holders is given by mail, neither the failure to mail such notice to any particular Holder, nor any defect in any notice so mailed, shall affect the sufficiency of such notice with respect to all other Holders. (b) Where this Ordinance provides for noti'ce in any manner, such notice may be waived in writing by the Holder entitled to receive such notice, either before or after the event with respect to which such notice is given, and such waiver shall be the equivalent of such notice. Waivers of notice by Holders shall be filed with the Paying Agent/Registrar, but such filing shall not be a condition precedent to the validity of any action taken in reliance upon such waiver. ARTICLE XV PARTICULAR REPRESENTATIONS AND COVENANTS Section 15.01. Other Representations and Covenants. (a) The City will faithfully perform at all times any and all .covenants, undertakings, stipulations, and provisions contained in this Ordinance, and each ordinance authorizing the issuance of Parity Bonds, and in each and every Pari ty Bond; it will promptly pay or cause to be paid the principal of and interest on every Parity Bond, on the dates and in the places and manner prescribed in such ordinances and Parity Bonds; it wi11, at the times and in the manner prescribed, deposit or cause to be deposited the amounts required to be deposited into the Interest and Sinking Fund and the Reserve Fund. (b) The City is a duly created and existing home rule city of the State of Texas, and is duly authorized under the laws of the 4588f -38-
