<br /> 2s-z <br /> Notices and communications from the CITY to ENGINEER shall be addressed <br /> to ENGINEER's authorized representative: <br /> George Oswald, P.E. <br /> Camp, Dresser & McKee, Inc. <br /> Westech 360 <br /> 8911 Capital of Texas Highway, Suite 4240 <br /> Austin, Texas 78759 <br /> -- <br /> ARTICLE 8 <br /> SUCCESSORS AND ASSIGNS <br /> 8.1 The CITY and the ENGINEER, respectively, bind themselves, their <br /> successors, assigns and legal representatives to the other party to <br /> this Agreement " and to the partners, successors, assigns and legal <br /> representatives of such other party with respect to all covenants of <br /> this Agreement. Neither the CITY nor the ENGINEER shall assign, sublet <br /> or transfer any interest in this Agreement without the written consent <br /> of the other. <br /> . <br /> ARTICLE 9 <br /> EXTENT OF AGREEMENT <br /> 9.1 This Agreement represents the entire and integrated agreement <br /> between the CITY and the ENGINEER and supersedes all prior <br /> negotiations, representations or agreements, either written or oral. <br /> This Agreement may be amended only by written instrument signed by both <br /> ~ITY and ENGINEER. <br /> . <br /> ARTICLE 10 <br /> BASIS OF COMPENSATION <br /> 10.1 BASIC COMPENSATION <br /> The CITY shall compensate the ENGINEER for the Scope of Services <br /> provided, in accordance with Article 3, Payments to the ENGINEER, and <br /> the other terms and conditions of this Agreement, as follows: <br /> 10.1.1 For work performed by the ENGINEER, as described in <br /> Paragraphs 1.1 through 1.10, compensation shall be computed on the <br /> basis of ENGINEER's direct labor costs times a multiplier of 3.20, plus <br /> direct expense costs. <br /> 10.1.2 Direct labor costs (chargeable salaries without fringe <br /> benefits) are costs incurred by ENGINEER's personnel for time such <br /> personnel are directly utilized on the project. Salaries of ENGINEER's <br /> personnel are subject to modifications by the ENGINEER throughout the <br /> term of this Agreement as part of scheduled company-wide personnel <br /> ?erformance evaluation. <br /> 10.1.3 Direct expense costs are all costs other than labor costs <br /> - that are directly incurred during the progress of the work, including <br /> the purchase of computer equipment described in subparagraph 1.10.2, <br /> expenses for transportation, use of computers and other equipment, <br /> travel, communications, subsistence and lodging away from home, <br /> reproduction, printing and binding of documents and similar <br /> incidentals. <br /> 10.1.4 For work done by subcontract or consultants, the CITY will <br /> pay the actual cost to the ENGINEER of such services. <br /> -10- <br />
