<br /> .' 7J.I <br /> transfer any interest in this Agreement without the written consent of the <br /> other. <br /> ARTICLE 9 <br /> EXTENT OF AGREEMENT <br /> 9.1 This Agreement represents the entire and integrated agreement between <br /> the Owner and the Consu ltant and supersedes all prior negotiations, <br /> representations or agreements, either written or oral. This Agreement may be <br /> amended only by written instrument signed by both Owner and Consultant. <br /> ARTICLE 10 <br /> BASIS OF COMPENSATION <br /> The Owner sha 11 compensate the Consultant for Services provided, in <br /> accordance with Article 3, Payments to the Consultant, and the other terms and <br /> conditions of this Agreement, as follows: <br /> ~ <br /> 10.1 BASIC COMPENSATION <br /> 10.1.1 For services, as described in Article 1 and in Attachment A, <br /> compensation shall be computed on the basis of time and materials at the <br /> current rate schedule. Owner agrees to make payments to the Consultant based <br /> upon itemized statements of time and materials charges as described in the <br /> Schedule of Charges attached as Attachment B. <br /> I <br /> 10.2 COMPENSATION FOR ADDITIONAL SERVICES <br /> Authorization by the Owner of Additional Services by the Consultant <br /> wi 11 include a 1 imit of the associated fee. Compensation for Additional <br /> Services wi 11 be based on the list of charges shown in Attachment B, attached <br /> hereto and incorporated herein for all purposes and shall be billed monthly. <br /> -10- <br />
