114 ---- ---- m. Dynamic Recovery Services, Inc. - - - .- - - - - - - ---- ---- AGREEMENT OF SERVICES DEFINITIONS: Dynamic Recovery Services, Inc. will hereinafter be referred to as AGENCY. City of San Marcos will hereinafter be referred to as CLIENT. 1.J ASSOCIATION MEMBERSHIPS AND ETHICS: AGENCY is a member of the American Collectors Association (ACA), Dallas Chamber of Commerce and the Better Business Bureau; and shall comply strictly with the code of ethics adopted by these organizations. 2. J REFERRAL OF ACCOUNTS: Referral of accounts to AGENCY shall be at CLIENTS' option. 3. J COLLECTION SERVICES: AGENCY shall perform colle6tions services for utility billing accounts referred by CLIENT in accordance with the proposal of AGENCY attached to this agreement as Exhibit "A". 4 . J COLLECTION RATES: The agreed upon rate for collections of Prime Accounts is 25%. DRS will retain 25% of all money collected and remit 75% to the City of San Marcos on or about the 25th of the following month. The agreed upon rate for - collections of Second Placements is 45%. DRS will retain 45% of all money collected and remit 55% to the City of San Marcos. I 5. J INDEMNIFICATIONS AND RELATIONSHIP OF PARTIES: AGENCY is an independent contractor, licensed and bonded, and is solely responsible for the employment, acts and omissions, control and direction of its employees. AGENCY shall indemnify and save CLIENT harmless from any and all claims, demands or causes of action that may be asserted due to collection activity of AGENCY on accounts referred by CLIENT. 6.] REMITTING COLLECTIONS: AGENCY shall remit to CLIENT on or about the 15th of each calendar month all collections made on CLIENTS' accounts during the preceding month.
