<br /> ).D'H <br /> 8.1.0 In performing this Agreement, CONSULTANT, its contractors, <br /> subcontractors, successors and as signs, shall comply with all local, <br /> State and Federal laws. <br /> 8.11 CONSULTANT shall perform its services under this Agreement as <br /> an independent Contractor and not an agent or employee of the CITY. <br /> ARTICLE 9 <br /> SUCCESSORS AND ASSIGNS <br /> 9.1 The CITY and the CONSULTANT, respectively, bind themselves, <br /> their partners, successors, assigns and legal representatives to the <br /> other party to this Agreement and to the partners, successors, assigns <br /> and legal representatives of such other party with respect to all <br /> covenants of this Agreement. Neither the CITY nor the CONSULTANT shall <br /> assign, sublet or transfer any interest in this Agreement without the <br /> written consent of the other. <br /> . <br /> ARTICLE 10 <br /> EXTENT OF AGREEMENT <br /> 10.1 This Agreement represents the entire and integrated agreement <br /> between the CITY and the CONSULTANT and supersedes all prior <br /> negotiations, representations or agreements, either written or oral. <br /> This Agreement may be amended only by written instrument signed by both <br /> CITY and CONSULTANT. <br /> ARTICLE 11 <br /> BASIS OF COMPENSATION ~ <br /> 11.1 BASIC COMPENSATION <br /> 11.1.1 The CITY shall compensate the CONSULTANT for the Scope of <br /> Services provided, in accordance with Article 4, and the other terms <br /> and conditions of this Agreement, as follows: <br /> The total fee to be paid to CONSULTANT for services under <br /> Paragraphs 1.1 through 1.6 shall not exceed $48,110.00. <br /> Reimburseable expenses to be paid ,to the CONSULTANT in connection <br /> with services described in Paragraphs 1.1 through 1.6 shall not exceed <br /> $7,934.00. <br /> 11.1.2 The CONSULTANT's fee for services, described in Paragraphs 1.1 <br /> through 1.6 is estimated on a per-task basis as follows: <br /> 1.1 TASK 1 - Project Initiation and Orientation $2,025.00 <br /> 1.2 TASK 2 - Current Systems and Issues $2,565.00 <br /> 1.3 TASK 3 - Interview Personnel $7,955.00 <br /> 1.4 TASK 4 - Determine Requirements and Needs $ 9,065.00 <br /> 1.5 TASK 5 - Conceptual System Designs $l3,850.00 <br /> 1.6 TASK 6 - Prepare and Present Report $12,650.00 <br /> 11.3 COMPENSATION FOR ADDITIONAL SERVICES <br /> For CONSULTANT's Additional Services, as described in Paragraph <br /> 1.7, Compensation shall be computed on the basis of CONSULTANT's Hourly <br /> Rates. CONSULTANT shall prepare an estimate of fees prior to <br /> undertaking additional services and CITY's written approval will be <br /> obtained prior to initiating the work. <br /> -9- <br />
