\ I ¥ It 4. All charges shall be paid by Client upon receipt of invoice from QIV, and all payments shall be made at QIV's office in San Antonio, Bexar County, Texas. Any amounts not paid within thirty (30) days after the invoice date thereof shall bear interest thereafter at the rate of Ten Percent (10%) per annum. D. PERSONNEL QIV will supply personnel to Client to perform the specified services hereunder, and such personnel may be either employees of QIV or independent contractors with whom QIV has contracted. QIV shall have the sole right to determine the assignment for such personnel in the performance of this Agreement, but QIV will remain responsible for all the specified services. Client tasks and functions on which such personnel assist shall remain under the supervision, management and control of the Client. QIV assumes no responsibility whatsoever, whether direct or indirect, for work undertaken by QIV personnel under the direction and control of Client. QIV will secure and maintain adequate workmen's compensation insurance in accordance with the law of the state or states wherein QIV shall perform services for the Client. QIV further agrees to maintain comprehensive general liability and automotive liability and property damage insurance. QIV will supply the Client with a certificate verifying all of these coverages at the Client's request. ~ E. CUSTOMER PROPERTY In the event that QIV assists Client in storing property and/or data of Client in connection with the performance of this Agreement, QIV will take reasonable precautions to safeguard Client's property; provided, however, such storage shall be at Client's sole and exclusive risk and liability and may be subject to a specified and separate storage charge. F. RIGHTS IN DATA AND SOFTWARE 1. With respect to financial, statistical, or other data relating to Client's business, or Client or - third party proprietary software, which is confidential and which has been clearly so designated, in writing, prior to QIV's performance under the particular Specification Supplement involved, the following is agreed: in the event such designation is made, QIV agrees to instruct its personnel to use the same care and discretion that they use with respect to similar information which QIV designates as confidential and to otherwise take all reasonable steps which the circumstances may dictate to protect the security and confidentiality of such data and software. Under no circumstances will QIV copy, remove, distribute or improperly utilize or use any software programs or documentation owned by Client or leased to Client by a third-party. Notwithstanding the foregoing, QIV shall be free to disclose and use such data as is publicly available, already in QIV's possession, independently developed by QIV, or rightfully obtained from third-parties. -2-
