<br /> 116 <br /> , <br /> - . <br /> COMPUTER SOFTWARE LICENSE AND <br /> MAINTENANCE AGREEMENT <br /> Part 1. Parties and Definitions. <br /> In this Agreement: <br /> 1.01 DBI means DB Information Systems, Inc., a Texas corporation, <br /> 2630 West Freeway, suite 205, Fort Worth, Texas 76102. <br /> 1.02 city means the city of San Marcos, a Texas municipal <br /> corporation, 630 East Hopkins, San Marcos, Texas 78666. <br /> 1.03 Software means DBI's "BADGE" application software for the <br /> automation of the city's Municipal Court. <br /> 1. 04 System means the Software, together with the hardware and <br /> operating system software to be supplied to the City by <br /> International Business Machines Corporation and Q.I.V. <br /> Systems, Inc. <br /> 1. 05 city's RFP means the City's Request for PrQposals for an <br /> Interactive Computer System for the Municipal Court, attached <br /> as Exhibit A to this Agreement. <br /> 1.06 DBI's Proposal means DBI's Computer Software Proposal <br /> submi tted in response to the city's RFP and attached as <br /> Exhibit B to this Agreement. <br /> 1.07 Acceptance Tests means the initial examinations of the System <br /> described in Part 8 of this Agreement. <br /> Part 2. Acknowledqements by DBI. I <br /> <br /> DBI expressly acknowledges: <br /> 2.01 That it develops, licenses, sells and services computer <br /> software applications for the automation of municipal <br /> courts in its normal and customary course of business. <br /> 2.02 That the City is unfamiliar with municipal court automation <br /> and relies upon DBI's knowledge of municipal court <br /> operations and of the City's needs in entering into this <br /> Agreement. <br /> Part 3. Software License. <br /> 3.01 DBI hereby grants a license to the city for use of (the <br /> Software) for the automation of the City's Municipal Court. <br />
