<br /> I/b 1/ <br /> The vendor expressly acknowledges: <br /> 1. That it develops, licenses, sells and services computer software <br /> applications for the automation of municipal courts in its nonnal and <br /> cu~tomary course of business. .-. <br /> 2. That it sublicenses operating system software for the automation of the <br /> municipal courts in its nonnal and customary course of business. <br /> 3. That the City is unfamiliar with municipal court automation and relies <br /> upon the vendor's knowledge of municipal court operations and of the <br /> City's needs in entering into this agreement. <br /> 1. General Warranties by Vendor. <br /> The vendor expressly warrants and represents: <br /> 1. That all infonnation provided by the vendor in its Response to the <br /> Request for Proposals is true and correct. <br /> 2. That it shall comply with all applicable federal, state and local laws <br /> pertaining to this agreement. <br /> ~ <br /> 3. That the computer system shall perfonn all requirements contained in <br /> this agreement, and shall maintain the storage capacity and reliability <br /> as specified in this agreement. <br /> 4. That the hardware, and vendor software together fonn a fully <br /> integrated and compatible computer system, and are merchantable and <br /> fit for the purpose of automating the City's Municipal Court. <br /> - 5. That all services perfonned by or for it under this agreement will be <br /> perfonned in a workmanlike manner by persons having specialized <br /> skill and knowledge as to the services being perfonned. <br /> 6. That the City shall have quiet enjoyment of the vendor's software, and <br /> that no change in the organization, structure or ownership of the <br /> vendor shall in any way interfere with or diminish the City's use, <br /> possession and enjoyment of the vendor's software. <br /> 7. That the training to be provided by the vendor to the City under this <br /> agreement will be sufficient to enable the City's Municipal Court staff <br /> to fully use the computer system. <br /> J.
