III. Wholesale Customer's Participation in the Program. Wholesale Customer hereby selects the Program option(s) indicated on the Financing Arrangements addendum to this AgreeIr.ent. The Program plans and financing arrangements selected by Wholesale Customer are hereinafter collectively referred to as the "Energy Fitness Package." Upon agreement with LCRA Wholesale Customer may later select additional Program options or change its selection of financing arrangements. In accordance with provisions set forth in the Program Design & Procedures Manual, Wholesale Customer may elect to (1) let LCRA or a representative of LCRA perform all Surveys or (2) perform some or all surveys itself. N. Reimbursement for Conducting Detailed Surveys. Subject to adjustment as provided below, LCRA shall reimburse Wholesale Customer for the work, if any, performed by Wholesale Customer's employees in conducting Detailed or Walk-Through Surveys(" Surveys") under this Agreement at the rates agreed upon by both parties. At least annually, LCRA will review its average actual costs for Surveys and, if LCRA determines that such costs are substantially different from said rates, LCRA, after written notice to Wholesale Customer and oppor:unity for consultation, shall adjust reimbursement rates to conform with average actual costs. Reimbursement to Wholesale Customer shall not include costs associated with travel and mileage or other variable expenses not related to the cost of the survey. Thereafter, or until the next annual review, aU reimbursements shall be in accordance with the adjusted rates. Each reimbUlsement by LCRA under this Section N shall be made monthly to Wholesale Customer unless said reimbursement is a nominal amount in which case it shall be deferred until the following month. V. Program Design and Procedures. LCRA will prepare, and revise from time to time as necessary, Program Design and Procedures (hereinafter called "Procedures") specifying detailed program- related design and procedures and other requirements for the Program consistent with the provisions of this Agreement. The Program shall be administered by Wholesale Customer in strict accordance with the Program Design and Procedures. VI. Provision of Forms end Usts. LCRA shall furnish Wholesale Customer appropriate forms and lists for administering the Program consistent with the provisions of this Agreement. VIT. Maintenance of Records and Reporting. In accordance with the provisions of the Power Contract and the Schedule of Terms and Conditions attached thereto and incorporated therein, Wholesale Customer shall allow LCRA or its duly authorized representatives free access at all reasonable times to all books and records connected with the Program. Wholesale Customer shaU take appropriate measures to safeguard the confidentiality of any records concerning individuals or businesses maintained in connection with the Program. Such information shall be di".Josed to third persons only in accordance with the guidelines provided by LCRA or as required by applicable laws or regulations. Wholesale Customer shall maintain and provide to LCRA upon request records which detail electric power consumption before and after installation of Improvements at Dwellings benefitted under the Program. 3 REV. 07/19/91
