8. Any software, for which payment of the license fee(s) has been assigned hereunder, is provided to Assignor in accordance with Vendor's Software License Agreement whieh must be executed by Assignor. U~on termination of the Lease for any reason, the lieense rights for any such software shall revert to Assignee subject to the following conditions: 8a. Assignee shall obtain no title in the lieensed ~roduets, however, Vendor hereby grants to Assignee the right to transfer the licensed products, subject to 8b below, which have been under continuous maintenance with Vendor, to another or subsequent eustomer of Assignee, in their then current state, for the additional charge of Vendor's then prevailing license transfer fee; 9. 8b. Provided any subsequent user of the licensed products agrees, by signi~ of Vendor's standard Software License Agreement, to treat the licensed products as confidential information of Vendor, to observe all cO~ytight restrictions of Vendor with res~ect to the licensed ~roducts and not to reproduce or sell the licensed products in competition with Vendor, then Vendor shall relieve Assignee of any obligation for the performance of any terms and conditions the of license agreement with respect to the licensed products. Vendor hereby agrees, upon written request from Assignor, to provide Assignor with a Bill of Sale, following the full payment by Assignee of all charges relating to the assigned products, to evidence the passage of title to the computer hardware and other assigned products (exclusive of any and all software) to Assignor free and clear of all claims, liens and encumbrances. 10. Assignor and Assignee hereby agree to deliver to the Vendor, in a timely fashion, all documents required for submission to the Vendor to permit the assignment and purchase of the herein described on-order products. 11. Freight charges and installation charges, when included in the Assignor's order, shall be paid by Assignor _____ or Assignee ~ (please check one). 12. If the appropriate resale or exemption certificate is not submitted with this document to Vendor applicable sales tax will be billed.
