and San Marcos that may arise during the period from the date of this Release until October 31, 1992 (unless extended by mutual agreement of LCRA and San Marcos) concerning: (a) the assets covered by San Marcos' option under Sections 9.3 and 9.4 of the Operating Agreement; or (b) any purchase of such assets by San Marcos pursuant to exercise of the option; and iij) any claims by San Marcos for failure of LCRA to perform its obligations under the Wholesale Power Agreement from and after the date of this Release, including the obligation to supply power to San Marcos under the terms of the Wholesale Power Agreement and to charge San Marcos for the power supplied at rates established from time to time by the Public Utility Commission of Texas for the voltage level at which such power is delivered. 3. LCRA hereby represents and warrants to San Marcos that no other person or entity has any interest in the Released LCRA Claims and. that LCRA has the sole right and exclusive authority to execute this Release with respect to such claims. LCRA agrees to defend, indemnify and hold harmless San Marcos in the event any party claiming authority to assert the Released LCRA Claims, or any part thereof, ever asserts such claims against San Marcos. San Marcos hereby represents and warrants to LCRA that no other person or entity has any interest in the Released San Marcos' Claims and that San Marcos has the sole right and exclusive authority to execute this Release with respect to such claims. San Marcos agrees to defend, indemnify and hold harmless LCRA in the event and to the extent any party claiming authority to assert the Released San Marcos' Claims, or any part thereof, ever asserts such claims against LCRA. 4.
