<br /> of such persons, and the Registrar shall thereupon, within not more <br /> than three business days, register and deliver such Obligation or <br /> Obligations as provided in such instructions. The provisions of the <br /> Bond Resolution shall control the procedures for transfer or <br /> exchange set forth herein to the extent such procedures are in <br /> conflict with the provisions of the Bond Resolution. <br /> (c) Every Obligation surrendered for transfer or exchange <br /> shall be duly endorsed or be accompanied by a written instrument of <br /> transfer, the signature on which has been guaranteed by an officer <br /> of a federal or state bank or a membe r of the National Association <br /> of Securities Dealers, in form satisfactory to Ameritrust, duly <br /> executed by the Owner thereof or his attorney duly authorized in <br /> writing. <br /> (d) The Registrar may request any supporting documentation <br /> it feels necessary to effect a reregistration. <br /> Section 4.02. Oblioations. <br /> <br /> The Issuer shall provide an adequate inventory of unregistered <br /> Obligations to facilitate transfers as provided in the Bond <br /> Resolution. Ameritrust covenants that it will maintain the <br /> unregistered Obligations in safekeeping and will use reasonable care <br /> in maintaining such unregistered Obligations in safekeeping, which <br /> shall be not less than the care it maintains for debt securities of <br /> other governments or corporations for which it serves as registrar, <br /> or which it maintains for its own securities. <br /> Section 4.03. Form of Reoister. <br /> (a) Ameritrust as Registrar will maintain the records of <br /> the Register in accordance with Ameritrust's general practices and <br /> procedures in effect from time to time. Ameritrust shall not be <br /> obligated to maintain such Register in any form other than a form <br /> which Arneritrust has currently available and currently utilizes at <br /> the time. <br /> (b) The Register may be maintained in written form or in <br /> any other form capable of being converted into written form within a <br /> reasonable time. <br /> Section 4.04. List of Owners. <br /> (a) Ameritrust will provide the Issuer at any time <br /> requested by the Issuer, upon payment of the cost, if any, or <br /> reproduction, a copy of the information contained in the Register. <br /> The Issuer may also inspect the information in the Register at any <br /> time Ameritrust is customarily open for business, provided that <br /> reasonable time is allowed Arneritrust to provide an up-to-date <br /> listing or to convert the information into written form. <br /> 4329f <br /> -5- <br />
