terminate this agreement sooner by giving the other 30 days prior written notice. 4.02 The parties may agree to renew this agreement annually. Renewal will be confirmed by a letter agreement executed by the city manager of the City and the president of SWT. 5. Compensation for SWl: 5.01 The City will pay SWT $20,000.00 for its services under this agreement in four installments of $5,000.00 each. The first installment is payable on June 30, 1992 and the next three installments are payable on the last day of each month thereafter until September 30, 1992 when the final installment is payable. 5.02 If the parties renew this agreement for another year, the City will pay SWT $20,000.00 in twelve monthly installments of $1,666.66 each, on the last day of each month of the renewal year. 6. General Provisions 6.01 This agreement shall be construed under and in accordance with the laws of the state of Texas. 6.02 This agreement constitutes the sole and only agreement of the parties and supersedes any prior understanding or written or oral agreement between the parties with respect to this subject. 6.03 If for any reason a part of this agreement is declared invalid, all other portions shall remain in full force and effect. 6.04 The individuals executing this agreement on behalf of the parties certify that they are authorized to enter into this agreement.
