<br />transfer any interest in this Agreement without the written <br />consent of the other. <br />ARTICLE 10 <br />Er.rEIft OF AGRBEIIEIIT <br />10.1 This Agreement represents the entire and integrated agreement <br />between the CITY and the ADMINISTRATOR and supersedes all prior <br />negotiations, representations or agreements, either written or <br />ora!. This Agreement may be amended only by written instrument <br />signed by both CITY and ADMINISTRATOR. <br />ARTICLE 11 <br />BASIS OF COJlPEIlSATIOII <br />11.1 The CITY shall compensate the ADMINISTRATOR for the Scope of <br />Services provided, in accordance with Article 4, Payments to the <br />ADMINISTRATOR, and the other terms and conditions of this <br />Agreement. <br />The total fee paid to ADMINISTRATOR shall not exceed <br />$8,000.00 for both phases of the Project.
