<br /> sole cost and expense to rebuild, repair and restore its signs, <br /> fixtures, equipment and any other work necessary to open the <br /> premises for business. <br /> 9.4 During any period of reconstruction or repair of the <br /> premises, this Lease shall continue in full force and effect <br /> except that the rent shall, for the length of time necessary for <br /> the reconstruction or repair, be abated in proportion to the <br /> amount of floor area of the premises rendered unusable, but there <br /> shall be no abatement of any other amounts payable by HCAD. <br /> 9.5 Any insurance against casualty loss which may be carried by <br /> ei ther party for its benefit shall be under the sole control of <br /> the party carrying the insurance and the other party shall have no <br /> interest in any of the proceeds. Both parties expressly waive any <br /> cause of action or right to recovery which either of them may have <br /> against the other for any loss or damage to the premises or to <br /> contents belonging to either party contained in the premises <br /> caused by fire, explosion, or other risk covered by the Texas <br /> standard form of fire and extended coverage policy. <br /> ARTICLE X <br /> ASSIGNMENT AND SUBLETTING <br /> lO.l HCAD shall not assign or in any manner transfer this Lease or <br /> any estate or interest in it or sublet the premises or any part of <br /> them without prior written consent of the CITY. Consent shall not <br /> be unreasonably withheld and the reason for not granting consent <br /> shall be made in writing to the HCAD. Consent by the CITY to one <br /> or more assignments or sublettings shall not operate as a waiver <br /> of the CITY's rights as to any subsequent assignments and <br /> sublettings. Notwithstanding any assignment or subletting, HCAD <br /> shall at all times remain fully responsible and liable for the <br /> payment of the rent and for compliance with all of its other <br /> obligations under this Lease. <br /> lO.2 In the event of the transfer and assignment by the CITY of <br /> its interest in this Lease and/or in the leased premises to any <br /> person, firm or corporation, said person, firm, or corporation <br /> -6- <br />
