CERTIFICA TE OF UNDER WRITER The undersigned hereby certifies as follows with respect to the sale of $3,595,000 CITY OF SAN MARCOS, TEXAS GENERAL OBLIGATION BONDS, SERIES 1991 (the "Bonds"). 1. The undersigned is the underwriter or the manager of the syndicate of underwriters which has purchased the Bonds from the City of San Marcos, Texas (the "City") at competitive sale. 2. The undersigned and/or one or more other members of the underwriting syndicate, if any, have made a bona fide offering of the Bonds of each maturity to the public. 3.
