"DTC" means The Depository Trust Company of New York, New York, or any successor <br />securities depository. <br />"DTC Participant" means any broker, dealer, bank, trust company, clearing corporation or <br />certain other organizations with Certificates credited to an account maintained on its behalf by DTC. <br />"Event of Default" means any Event ofDefault as defined in Section 10.01 ofthis Ordinance. <br />"Federal Securities" as used herein means direct, noncallable obligations of the United States <br />of America, including obligations that are unconditionally guaranteed by the United States of <br />America (including Interest Strips of the Resolution Funding Corporation). <br />"Initial Certificate" means the Certificate described in Section 3.04(d) and 6.02(d) for one <br />or more series of Certificates. <br />"Insurer" or "Bond Insurer" means the insurer, if any, of one or more series of the Certificates <br />as designated in each Pricing Certificate. <br />"Interest and Sinking Fund" means the interest and sinking fund, including any subaccounts, <br />established by Section 8.01(a) of this Ordinance. <br />"Interest Payment Date" means the date or dates upon which interest on a series of the <br />Certificates is scheduled to be paid until the maturity of the Certificates, as provided in each Pricing <br />Certificate. <br />"MSRB" means the Municipal Securities Rulemaking Board. <br />"Ordinance" means this Ordinance. <br />"Original Issue Date" means the initial date from which interest on a series of the Certificates <br />accrues and which is designated in Section 3.02(a) of this Ordinance. <br />"Owner" means the person who is the registered owner of a Certificate or Certificates, as <br />shown in the Register. <br />"Paying Agent /Registrar" means Regions Bank, any successor thereto or an entity which is <br />appointed as and assumes the duties of paying agent /registrar as provided in this Ordinance. <br />"Pricing Certificate" means each Pricing Certificate of the City's Pricing Officer to be <br />executed and delivered pursuant to Section 3.02 hereof in connection with the issuance of one or <br />more series of the Certificates. <br />"Pricing Officer" means the City Manager, or in his absence, the Assistant City <br />Manager /Director of Finance, acting as the designated Pricing Officer of the City to execute each <br />Pricing Certificate. <br />San Marcos CTRCO 2013: Ordinance 3 <br />
