in the manner provided and on the dates stated in the FORM OF BOND set forth in this First <br />Supplement and the Pricing Certificate. <br />(e) In General. The Bonds (i) may and shall be redeemed prior to the respective <br />scheduled maturity dates, (ii) may be assigned and transferred, (iii) may be exchanged for other <br />Bonds, (iv) shall have the characteristics, and (v) shall be signed and sealed, and the principal of and <br />interest on the Bonds shall be payable, all as provided, and in the manner required or indicated, in <br />the FORM OF BONDS set forth in Exhibit "B" to this First Supplement and with such changes and <br />additions as required to be consistent with the provisions contained in the Pricing Certificate. <br />(f) Payments on Holidays. In the event that any date for payment of the principal of or <br />interest on the Bonds is a Saturday, Sunday, legal holiday, or day on which banking institutions in <br />the city where the Paying Agent /Registrar is located are authorized by law or executive order to <br />close, then the date for such payment will be the next succeeding day that is not a Saturday, Sunday, <br />legal holiday, or day on which such banking institutions are authorized to close. Payment on such <br />later date will not increase the amount of interest due and will have the same force and effect as if <br />made on the original date payment was due. <br />Section 2.03. PAYMENT OF BONDS; PAYING AGENT/REGISTRAR. The principal <br />of, premium, if any, and the interest on the Bonds shall be payable, without exchange or collection <br />charges to the Owner thereof, in any coin or currency of the United States of America that at the <br />time of payment is legal tender for the payment of public and private debts. <br />Regions Bank on is hereby appointed as Paying Agent /Registrar for the Bonds. By accepting <br />the appointment as Paying Agent/Registrar, the Paying Agent/Registrar acknowledges receipt of <br />copies of the Master Ordinance and this First Supplement, and is deemed to have agreed to the <br />provisions thereof and hereof. <br />The City agrees and covenants to cause to be kept and maintained at the designated office <br />of the Paying Agent/Registrar a Security Register, all as provided herein, in accordance with the <br />terms and provisions of the Paying Agent/Registrar Agreement and such reasonable rules and <br />regulations as the Paying Agent /Registrar and the City may prescribe. In addition, to the extent <br />required by law, the City covenants to cause to be kept and maintained the Security Register or a <br />copy thereof in the State. <br />The City expressly reserves the right to appoint one or more successor Paying <br />Agent /Registrars, by filing with the Paying Agent/Registrar a certified copy of a resolution or <br />minute order of the City making such appointment. The City further expressly reserves the right to <br />terminate the appointment of the Paying Agent/Registrar by filing a certified copy of a resolution <br />of the City giving notice of the City's termination of the City's agreement with such Paying <br />Agent /Registrar and appointing a successor. The City covenants to maintain and provide a Paying <br />Agent /Registrar at all times until the Bonds are paid and discharged, and any successor Paying <br />Agent /Registrar shall be a bank, trust company, financial institution, or other entity duly qualified <br />and legally authorized to serve as and perform the duties and services of Paying Agent /Registrar for <br />the Bonds.
