<br /> -5- <br /> proposals in connection with the RFP process. <br /> III. <br /> TIME OF PERFORMANCE <br /> 3.1 These services shall commence on June 25, 1991, and in <br /> any event, all of the services shall be completed no later than the <br /> expiration of the City's contract with TDOC. <br /> IV. <br /> INDEMNIFICATION <br /> 4.1 Consultant hereby assumes the risk of and agrees to <br /> indemnify and hold harmless City and its employees, agents, <br /> officers and servants against all liability, damages, expenses, <br /> attorneys' fees, and costs incurred by Owner as a result of <br /> Consultant's negligent performance of work in connection with the <br /> services provided as specif ied and required in this contract unless <br /> said liability, damages, expenses, attorneys' fees, and costs are <br /> caused solely and directly by the negligence of the City, its <br /> agents or employees and any third party or parties not concurring <br /> with contractor's negligence or fault. Consultant agrees to <br /> investigate, handle, respond to, provide Consultant defense for and <br /> defend any such claims, demands, or suits at Consultant's sole <br /> expense and agrees to bear all other costs and expenses related <br /> thereto, if said claims are the result of Consultant's negligence <br /> or breach of this agreement. <br /> V. <br /> MISCELLANEOUS <br /> 5.1 This Agreement shall be governed by the laws of the state <br />
