Box 788 <br />San Marcos, TX 78667-0788 <br /> RE: ågreement to make attachments of <br /> television cable and necessary <br /> appurtenant facilities to poles (the <br /> "Poles") located in the vicinity of San <br /> Marcos, Texas pursuant to that Agreement <br /> dated January 1, 1989, between San <br /> Marcos Electric Utility ("Licensor") and <br /> Karnack Cable TV ("Licensee"). <br />Dear Sir or Madam: <br />Karnack Corporation ("Karnack"), as successor-in-interest to <br />Karnack Cable TV, is the current Licensee under the above- <br />referenced Agreement (herein so called). Karnack has <br />entered into an agreement to sell its cable television <br />systems to TCI Cablevision of Texas, Inc. (the "Assignee"). <br />At closing of that sale, Karnack will assign its right, <br />title, and interest in and to the Agreement to the Assignee, <br />effective on the day of closing (the "Closing"). The <br />Assignee will assume, and Karnack will be released from, the <br />Licensee's obligations under the Agreement which accrue from <br />and after the day of Closing. <br />Please acknowledge your consent to the assignment by Karnack <br />of the Agreement to thp Assignee and confirm that the <br />following information is true and correct. Please do so by <br />signing this lettar and returning it to Karnack at the <br />address indicated on the self-addressed, stamped envelope <br />provided with this letter. <br /> 1. San Marcos Electric Utility is the so Ie legal owne~ <br />of the Poles and is the Licénsor under the Agreement. <br /> 2.
