<br />8.2 <br /> <br />Terms <br /> <br />in <br /> <br />this <br /> <br />Agreement <br /> <br />shall <br /> <br />have the same meanings as <br /> <br />those <br /> <br />in the construction contract documents executed by the Owner and <br /> <br />Contractor for this project. <br /> <br />8.3 <br /> <br />All <br /> <br />requirements <br /> <br />in <br /> <br />this <br /> <br />Agreement <br /> <br />pertaining <br /> <br />to <br /> <br />"construction <br /> <br />contract <br /> <br />documents" <br /> <br />and <br /> <br />the construction contract for <br /> <br />this <br /> <br />project <br /> <br />shall also apply to the contract for the purchase of the <br /> <br />equipment <br /> <br />for <br /> <br />this <br /> <br />project if Owner elects to separately bid out and <br /> <br />purchase <br /> <br />the <br /> <br />equipment <br /> <br />and <br /> <br />the installation of same, as provided in <br /> <br />Section 1.2 of this Agreement. <br /> <br />8.4 <br /> <br />As <br /> <br />between the parties to this Agreement, as to all acts or <br /> <br />failures <br /> <br />to <br /> <br />act <br /> <br />by <br /> <br />either <br /> <br />party <br /> <br />to this Agreement, any applicable <br /> <br />statute <br /> <br />of <br /> <br />limitations shall commence to run and any alleged cause of <br /> <br />action <br /> <br />shall <br /> <br />be deemed to have accrued in any and all events when the <br /> <br />party <br /> <br />commencing said cause of action knew or should have known of the <br /> <br />existence of the subject act(s) or failure(s} to act. <br /> <br />8.5 <br /> <br />The Engineer hereby agrees to protect, defend, and indemnify <br /> <br />the <br /> <br />Owner <br /> <br />and <br /> <br />its <br /> <br />employees, <br /> <br />agents, <br /> <br />officers, <br /> <br />and <br /> <br />servants, in <br /> <br />proportion <br /> <br />to <br /> <br />Engineer's <br /> <br />degree <br /> <br />of responsibility, from any and all <br /> <br />losses, <br /> <br />costs, <br /> <br />damages, <br /> <br />or <br /> <br />expenses of every kind claimed by anyone <br /> <br />for <br /> <br />personal <br /> <br />injuries, <br /> <br />death, <br /> <br />or <br /> <br />damages <br /> <br />to property, and without <br /> <br />limitation <br /> <br />by <br /> <br />enumeration, <br /> <br />all <br /> <br />other <br /> <br />claims, demands, or causes of <br /> <br />action <br /> <br />of <br /> <br />every <br /> <br />character <br /> <br />occurring, <br /> <br />resulting, <br /> <br />or <br /> <br />arising <br /> <br />from <br /> <br />Engineer's <br /> <br />negligent <br /> <br />act <br /> <br />or <br /> <br />omission, <br /> <br />defective, <br /> <br />or <br /> <br />unreasonably <br /> <br />dangerous <br /> <br />product, <br /> <br />or <br /> <br />other <br /> <br />conduct <br /> <br />or <br /> <br />activity <br /> <br />violative of the <br /> <br />applicable <br /> <br />legal <br /> <br />standard, <br /> <br />or <br /> <br />by <br /> <br />any combination of the foregoing, <br /> <br />which <br /> <br />is <br /> <br />a <br /> <br />cause <br /> <br />of <br /> <br />or <br /> <br />contribution to the loss, cost, damage, or <br /> <br />expense. <br /> <br />This shall include, but not be limited to, the amounts of <br /> <br />-18- <br />
