<br />STATE OF TEXAS <br /> <br />COUNTY OF HAYS <br /> <br />REIMBURSEMENT AGREEMENT FOR <br />WASTEWATER IMPROVEMENTS <br /> <br />KNOW ALL PERSONS BY THESE PRESENTS: <br /> <br />That this Agreement is made and entered into on this 11-- day of <br /> <br />January <br /> <br />1990 <br /> <br />, by and between the City of San Marcos, a <br /> <br />municipal corporation organized under the laws of the State of Texas <br /> <br />("City"), Composite Technology Engine Components, limited partnership <br /> <br />( "CTEC") , and Rohr Industries, Inc., a Delaware corporation ("Rohr") , <br /> <br />for the purposes and consideration hereinafter described: <br /> <br />RECITALS <br /> <br />Whereas, the Subdivision Ordinance of the City provides for the <br /> <br />installation of certain public improvements, including an allocation of <br /> <br />the cost of such improvements; and, <br /> <br />Whereas, the City desires to have certain wastewater lines to be <br /> <br />constructed <br /> <br />by <br /> <br />CTEC <br /> <br />and <br /> <br />Rohr <br /> <br />oversized <br /> <br />in <br /> <br />accordance <br /> <br />with <br /> <br />the <br /> <br />Subdivision Ordinance of the City; and, <br /> <br />Whereas, CTEC and Rohr are willing to participate with the City in <br /> <br />the construction of these lines; and, <br /> <br />Whereas, <br /> <br />the <br /> <br />City, <br /> <br />through <br /> <br />its <br /> <br />Public <br /> <br />Works <br /> <br />Department, <br /> <br />has <br /> <br />required the construction of sewer lines of a size greater than is <br /> <br />required <br /> <br />to <br /> <br />adequately <br /> <br />serve <br /> <br />the <br /> <br />San <br /> <br />Marcos <br /> <br />Technology <br /> <br />Park <br /> <br />Subdivision; <br /> <br />Now, therefore, the City, CTEC and Rohr, in consideration of the <br /> <br />mutual promises, covenants and agreements set forth herein expressly <br /> <br />agree and contract as follows: <br /> <br />1. <br /> <br />CTEC and Rohr agree to construct improvements to the City's <br /> <br />wastewater system in the form of an eight (B) inch diameter gravity <br /> <br />flow, lift station, and four (4) <br /> <br />inch diameter force-main wastewater <br /> <br />main from San Marcos Technology Park Subdivision, down and parallel to <br /> <br />the East right-of-way line of Northeast Interstate Highway 35 to the <br /> <br />;xisting <br /> <br />fifteen <br /> <br />(15) <br /> <br />inch <br /> <br />diameter <br /> <br />city <br /> <br />sanitary <br /> <br />sewerline, <br /> <br />as <br /> <br />described on Exhibit "A" attached hereto and made a part hereof for all <br /> <br />purposes. <br /> <br />2. <br /> <br />CTEC and Rohr agree that these wastewater improvements will be <br /> <br />constructed <br /> <br />according to city specifications <br /> <br />as <br /> <br />determined by <br /> <br />the <br /> <br />Director of Public Works of the City of San Marcos. <br />
